1. ELIGIBILITY: The Smithfield Hog Wild Throwdown Recipe Contest and Sweepstakes (the “Promotion”) is open only to individual, legal residents of the 50 United States, District of Columbia (“D.C.”) and Puerto Rico, who are 21 years of age and older as of date of entry. Employees, officers and representatives of Smithfield Foods, Inc. (“Sponsor”), Advantage Sales & Marketing LLC d/b/a Integrated Marketing Services (“Administrator”), each of their respective parent companies, affiliates, subsidiaries, advertising, fulfillment and marketing agencies, and members of the immediate families (spouse, parent, grandparent, child, grandchild, sibling and their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above and brand ambassadors that are being compensated either by product or money are not eligible to participate in the Promotion. Any person who has a personal or professional relationship with celebrity judges Moe Cason and Tuffy Stone is not eligible to enter the Recipe Contest. By participating, you agree to be bound by the Official Rules and the decisions of the Sponsor and Administrator, which are final and binding in all respects. Void outside the 50 United States/D.C. and Puerto Rico and where prohibited by law. The Promotion is subject to all applicable federal, state and local laws and regulations.

2. TIMING: The Recipe Contest begins at 12:00:00 PM ET on 5/11/16 and ends on 8/11/16 at 11:59:59 AM ET (the “Contest Period”). The Sweepstakes begins at 12:00:00 PM ET on 5/11/16 and ends on 9/6/16 at 11:59:59 AM ET (the “Promotion Period”). There are three (3) entry periods during which to enter a recipe into the Recipe Contest (each an “Entry Period”): Entry Period 1: Any Pork recipes will be accepted beginning at 12:00:00 PM ET on 5/11/16 through 11:59:59 AM ET on 5/31/16. Entry Period 2: Ribs recipes will be accepted beginning at 12:00:00 PM ET on 6/15/16 through 11:59:59 AM ET on 7/5/16. Entry Period 3: Grilled Pork “Like a Steak” recipes will be accepted beginning at 12:00:00 PM ET on 7/22/16 through 11:59:59 AM ET on 8/11/16.

3. TO ENTER A RECIPE : Create an original Entrée or Appetizer recipe cooked on a grill or smoker that includes a Smithfield Fresh Pork product that fits the category for one of the three Entry Periods referenced above in Section 2, then visit www.SmithfieldThrowdown.com (the “Website”) during that Entry Period to register and submit your original recipe (see Recipe Guidelines below), along with a photo of your prepared recipe (“Entry”). It is not a requirement that the pork in the prepared recipe be a Smithfield Fresh Pork product; however Smithfield Fresh Pork must be specified in the recipe.Limit of one Entry per person/email address per Entry Period. For each eligible Entry submitted, you will automatically receive one entry (for a maximum of one (1) Entry per person/email address) into the Sweepstakes Grand Prize Drawing. You must include your legal name and a valid email address where you can be contacted, with the Entry. In the event you fail to provide the required information on the entry form, and/or if the required information on the entry form is not valid, and/or if the entry form or any part of your Entry is not successfully submitted, any such attempted entries will become null and void. In case of a dispute as to the identity of an entrant, Entry will be considered to have been made by the authorized account holder of the email address provided on the entry form regardless of the individual that submitted the Entry. Sponsor reserves the right to disqualify any Entry it deems to be inappropriate, offensive or is not in keeping with Sponsor’s image, at its sole discretion. Any recipes that do not include a Smithfield Fresh Pork product, or Entries which in the sole opinion of Sponsor, are deemed not to be original or deemed to be inappropriate for publication will be disqualified. All Entries become the sole property of the Sponsor and will not be acknowledged or returned. Sponsor not responsible for illegible, lost, late, damaged, incomplete, inaccurate, delayed or misdirected entries or for computer system, phone/cable line, hardware, software or program malfunctions, or other errors, failures or delays in computer transmissions or network connections that are human or technical in nature. Use of automated devices to enter is prohibited.

4. RECIPE GUIDELINES:
   1. Recipe must be original; being the product of one’s own mind and is not a copy or imitation.
   2. Only an Entrée or an Appetizer will be accepted (no side dishes or desserts).
   3. A Smithfield Fresh Pork product (such as loin, loin filet, chops, tenderloins, ribs, marinated product) must be specified in the recipe and the recipe must be submitted during the correct Entry Period for the type of recipe.
   4. Entrant must register as a “Pitmaster Pro” or a “Backyard Barbecuer.” Pitmaster Pro is defined as person who has been paid to work in the food preparation industry and/or who has placed in a professional BBQ competition, regardless of educational background or current work history. Backyard Barbecuer is defined as a non-professional cook. A Pitmaster Pro may not submit an Entry as a Backyard Barbecuer. Finalists in the “Backyard Barbecuer” division will be required to provide verification proving they do not work in the food service industry and are not a registered member of the sanctioning body of KCBS or any other competitive barbeque organization.
   5. A majority of the recipe must be cooked on a grill or smoker.
   6. You must include complete and clear instructions; list of ingredients, exact measurements, grilling/smoking time and temperature and the number of servings per recipe. No limit on the amount of ingredients.
   7. A photo of the recipe must be included. You may only submit one photo with your Entry. Photo must be original (taken by the entrant) and unedited and only .JPG or .GIF format files are allowed with a maximum size of 3 MB. Limit photo file names to 25 characters or fewer in length and avoid special characters like quotes, apostrophes, commas, %, $, etc. Recipe and photo must be original, created solely by you, unpublished and cannot infringe upon any rights of any third party including but not limited to copyright, trade name, property rights, and rights of privacy or publicity or any other rights of any person or entity. No brand name products should be in the photo or listed in the ingredients except for any Smithfield products.
   8. Recipes must be submitted in English.

5. SEMI-FINALIST JUDGING : All eligible Entries will be judged by a panel of qualified judges whose decisions are final and binding in all matters relating to the judging. Recipes will be judged on the following criteria: 1) Originality/Creativity using Smithfield product – 40%; 2) How Recipe will Likely Taste – 40% (based on ingredients used and judges’ knowledge of how they would work together); 3) Appearance – 20% (based on photo sent by entrant). For each of the three Entry Periods, the ten (10) Entries that receive the highest score from each bracket (Pitmaster Pro and Backyard Barbecuer) will be declared Semi-Finalists, subject to verification, and will receive a Semi-Finalist Prize.

6. PUBLIC VOTING: The ten (20) Semi-Finalists (10 Pitmaster Pros and 10 Backyard Barbecues) will be posted on the website. Visitors can vote for the Recipes and Photos that have the most creative use of pork meat and best keep with the spirit of the Entry Period theme (Themes listed is Section 2). By voting, you will automatically receive one entry (for a maximum of one (1) Entry per person/email address per day) into the Sweepstakes Grand Prize Drawing. Voting periods are as follows: Entry Period 1 Voting: beginning at 12:00:00 PM on 6/8/16 through 11:59:59 AM ET on 6/14/16. Entry Period 2 Voting: beginning at 12:00:00 PM on 7/13/16 through 11:59:59 AM ET on 7/19/16. Entry Period 3 Voting: beginning at 12:00:00 PM on 8/19/16 through 11:59:59 AM ET on 8/25/16. Semi-Finalists will be judged on the criteria as follows: 1) 80% using the same criteria for the Semi-Finalist judging; 2) 20% Popularity based on voting. Limit of one (1) vote per recipe per day and one (1) Grand prize drawing entry per person/registered user per day. For each of the three Entry Voting Periods, four (4) Entries that receive the highest score from each bracket (Pitmaster Pro and Backyard Barbecuer) will move onto the Finalist Judging, subject to verification.

7. FINALIST JUDGING : Semi-Finalist Entries will be judged again by celebrity judges Moe Cason and Tuffy Stone using the same criteria for the Semi-Finalist judging to choose One Pitmaster Pro Finalist and one Backyard Barbecuer Finalist per Entry Period. Each Finalist will receive a Finalist Prize. An entrant may only be declared a Finalist for one Entry Period, e.g., Finalists from Entry Period 1 are not eligible to be a Finalist for Entry Period 2 or Entry Period 3. In case of a tie, tied entries will be judged by an additional tie-breaking judge using the criteria stated herein. One set of alternate Finalists (one Pitmaster Pro Finalist/Alternate and one Backyard Barbecuer Finalist/Alternate) will be chosen from all Entry Periods in a random drawing from the second highest scoring Entries for each Entry Period. Alternate Finalists will receive a Finalist Prize to attend the Throwdown BBQ Competition, but will not be invited to compete for the Grand Prize unless a Finalist is disqualified, drops out or is unable to compete for any reason.

8. THROWDOWN BBQ COMPETITION: All Finalists must be present at the Throwdown BBQ Competition in Kansas City, Missouri to compete for the Grand Prize. Details regarding the Throwdown BBQ Competition will be provided to the Finalists prior to the event. The Grand Prize winner will be announced at the event. No outside ingredients are to be used.

9. PRIZES FOR RECIPE CONTEST : Twenty (20) Semi-Finalist Prizes per Entry Period: grilling gift basket (“ARV”): $50. Eight (8) Finalist Prizes: a 3-night/2-day trip for 2 people (Finalist & one guest) to attend the American Royal BBQ Competition in Kansas City, MO (dates are to be determined, between September and November of 2016) and a Weber Grill (“Finalist Prize”). Grill make and model is at Sponsor’s discretion and will be shipped to winners’ residence. Finalist Prize includes: round trip, coach air transportation from a major gateway airport near winner’s home (at Sponsor’s discretion) to a major gateway airport near or in Kansas City, MO, 3 nights hotel accommodations (1 room, dbl. occ.), rental car in Kansas City (eligible drivers only; excludes gas, parking, tolls, insurance, collision damage waiver and is subject to car rental company terms and conditions), $250 spending allowance. Winner & guest will also get the opportunity to meet BBQ Pitmasters Moe Cason and Tuffy Stone (subject to change based on schedule). Additional restrictions may apply. Approximate Retail Value (“ARV”): $3,370; actual value may vary due to airfare fluctuations. Winner and guest must travel on the same itinerary and on dates specified by Sponsor or prize will be forfeited in its entirety. If winner resides within 120 miles of Kansas City, MO ground transportation will be provided in lieu of air and no compensation will be given in lieu thereof. Spending allowance will be awarded in the form of a check made payable to the winner or a prepaid debit card (at Sponsor’s discretion). A minor must be accompanied by his/her parent/legal guardian at all times while on Finalist Prize trip. Guest of Finalist Prize winner will be required to complete, sign and return a liability/publicity release prior to booking of travel arrangements and if such guest is a minor, release must be signed by minor’s parent/legal guardian. One (1) Grand Prize: A 2016 Ford F-150 XL Pickup truck (“Vehicle”) and $2,000.00 cash. Cash will be awarded in the form of a check made payable to the winner. Check will be payable in U.S. Dollars regardless of winner’s residence. Color, options and other features of the Vehicle to be specified by Sponsor. Grand prize winner is responsible for title, license and registration fees and local tax and/or duty fees (if required); and must have a valid driver’s license and provide evidence of insurance at time the Vehicle is awarded. Vehicle awarded may vary in model, color and accessories from that depicted in advertising and promotional materials. ARV of Grand Prize: $28,615.00. Any difference between the estimated ARV stated in these rules and the actual value will not be awarded.

INSTANT WIN GAME AND INSTANT WIN PRIZES : Visit www.SmithfieldThrowdown.com during the Promotion Period to register and play the instant win game. After registering, follow directions to play the game by completing a quick activity. You will receive a message after game play to notify you if you are a winner. Limit of one game play per person/email address per day. Seven Hundred Thirty (730) Instant Win Prizes: (500) $20 Walmart electronic gift card; (50) Phone Charger, ARV: $8; (30) Grill Apron, ARV: $25; (30) Grill Spatula, ARV $35; (30) Cooler bag, ARV: $40; (50) branded Hat, ARV: $12; (10) branded T-shirts ARV $20; (10) bag of Kingsford Charcoal, awarded as a coupon for one free bag of Kingsford Charcoal, up to $6.99, ARV $6.99 (maximum value); (20) branded Koozies, ARV $4.00. Instant win prizes will be randomly time seeded throughout the Promotion Period and the first player to complete a game play on or after a winning time wins the corresponding prize. Odds of winning a prize will be determined by the number of game plays and the time at which the game play is received. Sponsor will also be distributing (6,000) $1 Smithfield product coupons that will be time seeded throughout the Promotion Period. For each game play, you will automatically receive one entry (for a maximum of one (1) Entry per person/email address, per day) into the Sweepstakes Grand Prize Drawing.

10. SWEEPSTAKES DRAWING AND PRIZES: On or about 11/15/2016, a random drawing will be conducted by Administrator, from all eligible sweepstakes entries to award One (1) Grand Prize: A 2016 Ford F-150 XL Pickup truck (“Vehicle”) and $2,000.00 cash. Cash will be awarded in the form of a check made payable to the winner. Color, options and other features of the Vehicle to be specified by Sponsor. Grand prize winner is responsible for title, license and registration fees and local tax and/or duty fees (if required); and must have a valid driver’s license and provide evidence of insurance at time the Vehicle is awarded. Vehicle awarded may vary in model, color and accessories from that depicted in advertising and promotional materials. ARV of Grand Prize: $28,615.00. The winner of the Recipe Contest Grand Prize is not eligible to win the Sweepstakes Grand Prize.

Total ARV of all Sweepstakes and Instant Win Game prizes: $42,964.90 .

11. NOTIFICATION/VERIFICATION: Potential Grand Prize Winners/Finalists will be notified by email. Potential Finalist must respond to such email with the requested information within 48 hours or the prize will be forfeited and may be awarded to an alternate winner. Potential Finalists/Grand Prize Winners will be required to complete, sign and return an Affidavit of eligibility, liability release and (where lawful) a publicity release as well as an IRS Form W9. Noncompliance by date specified for the return of the documents, or return of these documents or any prize or prize notification as undeliverable, will result in disqualification. Sponsor is not responsible for any change of mailing address, email address, and/or telephone number of entrants. All federal, state and local income taxes on prize are the sole responsibility of the finalist/winner. Finalists/Grand Prize Winners will be issued an IRS Form 1099 for the value of the Prize. Unclaimed or undeliverable prize(s) may not be awarded. Semi-Finalist Prizes and Instant Win Prizes will be mailed (ecards will be emailed) to the winners within 6-8 weeks after the end of the Promotion Period.

12. ENTRANT’S REPRESENTATIONS: By submitting an Entry, you represent and warrant that: (a) you are the creator of the Entry; (b) the Entry is wholly original (apart from the “Smithfield” brand name); (c) the Entry does not infringe the intellectual property, privacy or publicity rights or any other legal or moral rights of any third party, including any current or former employer, and does not defame any person or identify any person by name or other identifying information; (d) the Entry has not previously been entered in any other contest; (e) the Entry has not been previously published in any medium; (f) the Entry does not violate any law or regulation; and (g) apart from the “Smithfield” brand name, you own all rights to your Entry (including, without limitation, any copyrights contained therein). Entrants agree to waive any claim for reimbursement for any equipment or materials necessary to submit an Entry regardless of whether or not that Entry is selected for any prize. Sponsor’s determination as to whether any Entry potentially violates the rights of any third party is final.

13. SPONSOR’S RIGHTS TO ENTRIES: Entries and other submitted material become the property of Sponsor and will not be acknowledged or returned. By submitting an Entry, you grant the Sponsor and its affiliated companies the unconditional and perpetual right and permission to copyright, reproduce, encode, store, copy, transmit, publish, post, broadcast, display, publicly perform, adapt, modify, create derivative works of, exhibit, and otherwise use the Entry (with or without using your name) in any media throughout the world for any purpose, without limitation, and without additional review, compensation, or approval from you or any other party. By submitting an Entry, you forever waive any rights of copyrights, trademark rights, patent rights, privacy rights, and any other legal or moral rights in the Entry that may preclude the Released Parties’ use of the Entry, or require your permission for the Released Parties to use the Entry. By submitting an Entry, you further agree not to instigate, support, maintain, or authorize any action, claim, or lawsuit against any Released Party, or any other person, on the grounds that any use of the Entry, or any derivative works, infringe any of your rights, including, without limitation, copyrights, or moral rights. You further acknowledge that the Sponsor is in no way obligated to broadcast, publish or use your Entry in any way. Nothing herein shall constitute an employment, joint venture, or partnership relationship between you and the Sponsor. In no way are you to be construed as the agent or to be acting as the agent of the Sponsor.

14. ADDITIONAL PRIZE DETAILS: Any prize details not specified above will be determined by the Sponsor in its sole discretion. Prizes are not transferable or refundable and must be accepted as awarded. No other substitutions may be made, except by the Sponsor, who reserves the right to substitute a prize (or component thereof) with another prize (or component thereof) of equal or greater value if the prize is not available for any reason as determined by the Sponsor in its sole discretion. Gift card will be awarded as an electronic gift card using the email address provided at point of entry. Use of gift ecard is subject to the terms and conditions set by Walmart. Winners are solely responsible for all applicable federal, state, and local taxes and for any expenses, costs or fees associated with acceptance and/or use of prizes not specified herein as being included. Sponsor reserves the right not to award any prizes, or to award fewer than the stated number of Grand and/or other Prizes, if in their sole and absolute discretion they do not receive a sufficient number of eligible or qualified Entries for the Contest.

15. GENERAL CONDITIONS: Allow approximately 6-8 weeks for shipment of prize following selection of each winner and verification of his/her eligibility. Acceptance of any prize constitutes winner’s agreement and permission for Sponsor and its agencies to use winner’s name/likeness and limited biographical information for advertising and trade purposes in any and all media worldwide without limitation and without further notice or compensation, unless prohibited by law. By participating and/or accepting a prize (if applicable), Promotion entrants agree to release and forever discharge, hold harmless and covenant not to sue Sponsor, Administrator, Walmart and each of their respective parent companies, affiliates, subsidiaries, distributors, agents and promotion and advertising agencies and the employees, directors and officers of each of the foregoing entities (collectively, the “Released Parties”), from and against any and all claims, demands, damages, losses and liabilities, of any nature whatsoever, which they may now or hereafter assert, including but not limited to, claims for injury, death, damages, or illness arising out of or relating to or claimed to be arising out of or relating to participation in the Promotion, prize acceptance (if applicable), or the use or misuse of any prize (if applicable) or participation in any prize-related activity (if applicable) or while preparing for or traveling to any prize-related activity. If the entry to the Sweepstakes (“Entrant”) elects to receive information from Ford and/or Ford Performance, then such information will be subject to the Ford Privacy Policy available by visiting http://owner.ford.com/ecp/privacy.html. By Entrant electing to receive information from Ford and/or Ford Performance, Entrants i) agree to the Sponsor’s collection and usage of their personal information, ii) agree to the Sponsor forwarding such information to Ford and/or Ford Performance, and iii) acknowledge that they have read and accepted the Ford Motor Company privacy policy. Sponsor and its agents are not responsible for any printing or other errors in Promotion-related material. Sponsor reserves the right, in its sole discretion, to cancel, terminate or suspend this Promotion should causes beyond the control of Sponsor corrupt the administration, security or proper play of the Promotion. If the Promotion is terminated before the intended end date, Sponsor will award the prizes from all eligible entries received prior to the Promotion termination. CAUTION: ANY ATTEMPT BY ANY INDIVIDUAL TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO DISQUALIFY, PROSECUTE AND SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW. By entering, entrant agrees that: (a) any and all disputes, claims and causes of action arising out of, or connected with, the Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate court located in the Commonwealth of Virginia; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion but in no event attorneys’ fees; and (c) to the extent allowed by applicable law, under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, entrant’s rights and obligations, or the rights and obligations of the Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the Commonwealth of Virginia without giving effect to any choice of law or conflict of law rules (whether of the Commonwealth of Virginia or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the Commonwealth of Virginia. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, the Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials and the terms and conditions of these Official Rules, the Official Rules shall prevail, govern and control.

16. WINNERS LIST: For the names of the prize winners, send an email to be received by 11/31/2016 to: Winners@ASMnet.com and include the Promotion Name in the subject line; Smithfield Hog Wild Throwdown. Winners list will be sent after winners have been verified.
