OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN.  A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

1. Eligibility. Lindt EXCELLENCE 2016 Summer Promotion (the “Promotion”) is open to legal residents of the fifty (50) United States (including D.C.), eighteen (18) years old or older at the time of entry who did not purchase any equipment or pay for Internet access for purposes of entering the Promotion. Employees of Lindt and Sprüngli (USA) Inc., Vital Design, LLC and their parent and affiliate companies, as well as the immediate family (spouse, parents, siblings and children) and household members of each such employee, are not eligible. The Promotion is subject to all federal, state and local laws and regulations, and entrant’s participation constitutes unconditional agreement to these Official Rules. Void where prohibited. The Promotion consists of an instant win game (“Instant Win Game”), of which verified First Prize winners will be entered into a sweepstakes (“Sweepstakes”) Grand Prize drawing.

2. Timing. The Promotion begins on July 1, 2016 at 12:00 p.m. Eastern Time (“ET”) and ends on October 31, 2016, 2016 at 11:59 p.m. ET, or while supplies and prizes last (”Promotion Period”). Sponsor’s computer is the official time-keeping device for the Promotion.

3. 3. Sponsor/Administrator. Lindt and Sprüngli (USA) Inc., One Fine Chocolate Place, Stratham, NH 03885.

4. How to Enter. There are two ways to enter the Instant Win Game: (a) by purchasing a specially marked Lindt EXCELLENCE bar while supplies and prizes last, or (b) by obtaining a complementary code online. The choice of entry method will not affect an entrant’s chances of winning.

(a)             Purchase one of the following specially marked Lindt EXCELLENCE bars (where available at participating wholesale retailers while supplies and prizes last): 3.5oz Lindt EXCELLENCE 70% Dark Cocoa bar; 3.5oz Lindt EXCELLENCE 85% Dark Cocoa bar; 3.5oz Lindt EXCELLENCE Intense Orange bar; 3.5oz Lindt EXCELLENCE A Touch of Sea Salt bar, and look inside to find a unique alphanumeric code (“Code”).  During the Promotion Period, visit the Lindt EXCELLENCE brand page at www.lindtusa.com/excellence (the “Website”), follow the links and instructions to complete the online registration form including your full name, date of birth, permanent address (no P.O. boxes accepted), phone number and valid email address, and enter your Code to find out if you are a potential winner (subject to verification) of the Instant Win Game. If you receive a message that contains any message other than a winning prize message, you are not a prize winner.  Please note that some items may not be available at all participating stores, and as the Promotion Period progresses, some participating stores may run out of specially marked products with Codes before others and these may not be resupplied.  Specially marked bars will not be available for purchase in Lindt chocolate retail stores, or through the Website.

(b)           Free Code online. To obtain a free Code online without making a purchase, visit the Lindt EXCELLENCE brand page during the Promotion Period at www.lindtusa.com/excellence, follow the links and instructions to complete the online registration form as described above and click where indicated to obtain a free Code. You will automatically receive a complementary Code for entry into the Instant Win Game.    Enter your Code and find out if you are a potential winner (subject to verification) of the Instant Win Game.  If you receive a message that contains any message other than a winning prize message, you are not a prize winner.

Each Code, obtained via either method of entry, may only be used once during the Promotion Period.

For all potential Instant Win Game winners via either entry method:  If you are identified as a potential Instant Win Game Winner, your winning notification will include instructions on how to claim your First Prize (as defined in Rule 6). All potential First Prize winners are subject to verification before any prize will be awarded. You are not a winner of any prize until notified by Sponsor that verification is complete.   SPONSOR WILL NOT ACCEPT SCREEN SHOTS OR OTHER EVIDENCE OF WINNING IN LIEU OF ITS VALIDATION PROCESS.  ANY ENTRY THAT OCCURS AFTER THE SYSTEM HAS FAILED FOR ANY REASON IS DEEMED A DEFECTIVE ENTRY AND IS VOID AND WILL NOT BE HONORED.

Sweepstakes Grand Prize Drawing:  Each verified First Prize winner will automatically receive one (1) entry into the Sweepstakes Grand Prize drawing.  Only verified First Prize winners are eligible to enter the Sweepstakes Grand Prize drawing.  If you are not a verified First Prize winner, you are not eligible to enter the Sweepstakes Grand Prize drawing.

Limit. Entrants may only enter one (1) Code obtained via either entry method per day.  Any attempt by any entrant to obtain more than one (1) Code entry per day during the Promotion Period by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entry and that entrant may be disqualified.  In the event of a dispute as to the ownership of any email address, the authorized account holder of the email address used to participate will be deemed to be the owner. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address. Entrants may be required to show proof of being an authorized account holder.

The methods for obtaining an entry, as detailed above in these Official Rules are the only legitimate channels (“Legitimate Channels”) for obtaining entries. The purchase, sale, trading or barter of Codes via online or live auctions, or any other method, do not constitute Legitimate Channels and are expressly prohibited.

5. Winner Selection. Sponsor’s decisions as to the administration and operation of the Promotion and the selection of the potential winners are final and binding in all matters related to the Promotion. The winner selection method for the First Prizes will be such that every 100th entrant who submits an eligible entry during the Promotion Period will be a potential First Prize winner (subject to verification), while the specified supply of First Prizes last. If an insufficient number of eligible entries are received during the Promotion Period resulting in the awarding of less than the 100 First Prizes advertised in these Official Rules, Sponsor will conduct a random drawing on or around November 1, 2016, from among all non-winning eligible entries received during the Promotion Period until a total of 100 First Prize winners have been selected (subject to verification). Sponsor will randomly select the potential Sweepstakes Grand Prize winner from among all verified First Prize winners on or around November 15, 2016.

6. Prizes/Approximate Retail Value (“ARV”)/Odds. ONE HUNDRED (100) INSTANT WIN GAME FIRST PRIZES: A Lindt EXCELLENCE chocolate prize pack, containing an assortment of five (5) Lindt EXCELLENCE chocolate bars, flavors determined by Sponsor in its sole discretion. ARV: $15. ARV of First Prizes: $1,500. ONE (1) SWEEPSTAKES GRAND PRIZE: A Year Supply of Lindt EXCELLENCE bars, flavors determined by Sponsor in its sole discretion, awarded as one shipment to the Grand Prize winner of approximately 576 bars. ARV of Grand Prize: $1,722.24. Total ARV of all prizes: $3,222.24. All prizes are non-transferable and no substitution will be made except as provided herein at the Sponsor’s sole discretion. Sponsor reserves the right to substitute a prize for one of equal or greater value if the designated prize should become unavailable for any reason.  Winners are responsible for all taxes and fees associated with prize receipt and/or use.  Odds of winning an Instant Win Game First Prize depend on the total number of eligible entries received during the Promotion Period and the time of entry.  Limit: One (1) First Prize per person. Odds of a verified Instant Win Game First Prize winner winning the Sweepstakes Grand Prize depends on the total number of verified Instant Win Game First Prize winners, but is approximately 1:100.  Prizes will be fulfilled approximately 8-10 weeks after the conclusion of the Promotion.

The number of First Prizes available for the Instant Win Game will diminish as prizes are claimed throughout the Promotion Period.  Sponsor disclaims any and all liability for continuing to advertise such prizes.

7. Winner Verification. Receiving a prize is contingent upon full and unconditional compliance with these Official Rules. The potential Instant Win Game and Sweepstakes winners will be notified by email or phone. First Prizes must be claimed within five (5) days of notification or attempted notification by Sponsor, or potential First Prize winner forfeits his/her First Prize.  The potential Sweepstakes Grand Prize winner (parent/legal guardian if winner is a minor in his/her state of residence) will be required to sign and return a Declaration of Compliance, Liability and Publicity Release and IRS Form W-9, which must be received by Sponsor, within seven (7) days of the date notice or attempted notice is sent, in order to claim the Grand Prize.  If a potential winner of any prize cannot be contacted, or (in the case of the Grand Prize) fails to sign and return the Declaration of Compliance, Liability and Publicity Release and IRS Form W-9, or provide any other requested information within the required time period (if applicable), prize is returned as undeliverable, or entrant or entry is disqualified, potential winner forfeits the prize.  Unclaimed and forfeited First Prizes will remain unawarded.  In the event that a potential winner of the Grand Prize is disqualified for any reason or cannot be contacted, Sponsor will award the Grand Prize to an alternate winner by random drawing from among all remaining eligible entries.  There will be three (3) alternate drawings after which the Grand Prize will remain unawarded.

No more than the stated number of prizes will be awarded. In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims.
Sponsor will attempt to notify each potential winner as set forth above, but Sponsor is not responsible for any undelivered emails, including without limitation emails that are not received because of a winner’s privacy or spam filter settings which may divert any Promotion related email, including any winner notification email or prize email to a spam or junk folder. Entrants should check their spam folders for any winner notification email or prize email.

8. Release. By entering the Promotion, entrant agrees to release and hold harmless Sponsor, Administrator, Vital Design LLC, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and offer suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claims, demands, debts, costs, fees, obligations, expenses, actions or causes of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or use or misuse of any prize.
9. Publicity. Except where prohibited, participation in the Promotion constitutes each entrants consent to Sponsor’s and its agents’ use of recipient’s name, likeness, photograph, voice, opinions and/or hometown and state for promotional purposes in any media, worldwide, now existing or later developed, without further approval, payment or consideration.

10. General Conditions. Sponsor reserves the right to terminate, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the registration process or the operation of the Promotion or to be acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

11. Limitations of Liability. The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by participants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software, including but not limited to any such failures that result in lost or garbled entries; (3) unauthorized human intervention in any part of the registration process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of registrations; (5) late, lost, undeliverable, misdirected, damaged or stolen mail, email, Codes or prize claims; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from participation in the Promotion or receipt or use or misuse of any prize.

12. Disputes. Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the District of New Hampshire or the appropriate New Hampshire State Court located in Rockingham County, New Hampshire and entrant consents to personal jurisdiction in the State of New Hampshire; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of New Hampshire without giving effect to any choice of law or conflict of law rules (whether of the State of New Hampshire or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New Hampshire.

13. Participant’s Personal Information. Information collected from entrant is subject to Sponsor’s Privacy Policy http://www.lindtusa.com/info-exec/display/privacy_policy.

14. Winners’ List. For a winners’ list, send a self-addressed stamped envelope after the Promotion Period to: MARKETING DEPARTMENT, Lindt & Sprüngli (USA) Inc., Lindt EXCELLENCE Sweepstakes Winners’ List Request, 1 Fine Chocolate Place, Stratham, New Hampshire 03885, or send an email requesting a winners’ list to lindtusa@gmail.com with the words “Lindt EXCELLENCE Sweepstakes Winners’ List Request” in the subject line.
