Lay’s® Flavor All-Stars Promotion
Official Rules
THIS PROMOTION IS INTENDED FOR PLAY IN THE FIFTY (50) UNITED STATES, THE DISTRICT OF COLUMBIA AND PUERTO RICO ONLY AND WILL BE GOVERNED BY U.S. LAW. DO NOT ENTER UNLESS YOU ARE ELIGIBLE AND LOCATED IN THE FIFTY (50) UNITED STATES, THE DISTRICT OF COLUMBIA, OR PUERTO RICO AT THE TIME OF PARTICIPATION.
NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO PLAY OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCE OF WINNING. VOID WHERE PROHIBITED BY LAW. BY PARTICIPATING IN THE PROMOTION, PARTICIPANT AGREES TO BE BOUND BY THESE OFFICIAL RULES AND THE DECISIONS OF THE SPONSOR (AS DEFINED BELOW), WHICH SHALL BE FINAL IN ALL RESPECTS.
1. ELIGIBILITY: The Lay’s® Flavor All-Stars Promotion (“Promotion”) is open only to legal residents of any of the fifty (50) United States, the District of Columbia and Puerto Rico, who are eighteen (18) years of age or older at the time of participation. The following persons are not eligible to participate: Employees, contractors, directors and officers of Frito-Lay, Inc. (“Sponsor”), its parent, subsidiary and affiliated companies, distributors, Web design, advertising, fulfillment, judging and promotion agencies involved in the administration, development, fulfillment and execution of this Promotion (collectively, “Promotion Parties”), and the immediate family members (spouse, parent, child, sibling, grandparent, and/or “step” of each) and those living in their same households (those persons whether related or not who live in the same residence for at least three months during the twelve-month period preceding the start date of the Promotion).
PROMOTION OVERVIEW: The Promotion consists of two (2) separate components: (a) an Instant-Win Game; and (b) a Sweepstakes. Sponsor invites participants to participate in one or both components of the Promotion. Participation into one component does not constitute participation into the other. See below for complete details on how to participate in both components of the Promotion.
2. PROMOTION PERIOD: The Promotion begins at 12:00:00 p.m. (noon) Central Time (“CT”) on October 3, 2016 and ends at 11:59:59 a.m. CT on November 13, 2016 (“Promotion Period”). The computer of Sponsor’s Web master is the official time-keeping device of the Promotion.
3. HOW TO PLAY THE INSTANT-WIN GAME: There are two (2) ways to participate in the Instant-Win Game:
(a) Text Message: A Code (defined below) is required if playing the Instant-Win Game via text messaging. To obtain a Code, purchase any specially-marked bag of Lay’s® Smoked Gouda & Chive Potato Chips, Lay’s® Chicken & Waffles Potato Chips, Lay’s® Wavy West Coast Truffle Fries Potato Chips or Lay’s® Sriracha Potato Chips and look for the numerical product code (“Code”) located below the “guaranteed fresh” statement on the front of the Lay’s® brand bag. Use your mobile device to text FLAVOR to short code 24477 and follow the automated instructions to text your birthdate (to confirm eligibility) and Code (a “Play”). For each text message Play, you will receive up to four (4) reply text messages about the Promotion from the Sponsor. Participants must have a mobile phone with text messaging capabilities to play by text message and may incur a standard text message charge from their wireless service provider for each text message sent and received. Check with your wireless service provider for details on these and any other applicable charges. Message and data rates may apply. Participants are solely responsible for any such wireless charges. Not all wireless carriers will participate. If you wish to opt out, text STOP to 24477. Text HELP to 24477 if you would like more information. If your mobile device displays a winning prize message, you are a winner of a prize (subject to verification). The message will also provide next steps to claim your prize. If your mobile device displays a non-winning prize message, you are not a winner of a prize. Limit one (1) Code per Play.
(b) Call Toll Free: To play without making a purchase and sending a text, call toll free 1-877-966-6542 from your touch-tone telephone and follow the automated instructions (also a “Play”). Callers will be required to provide their phone number, including their area code, and date of birth (as two digits for month, two digits for day, and four digits for year) to verify eligibility. If you are a winner of a prize, you will hear a voice message indicating that you have won (subject to verification). The message will also provide next steps to claim your prize.
Randomly-selected times, during the Promotion Period, will be chosen by the independent judging organization (the “Judges”), and the first participant who completes a Play in accordance with these Official Rules (whose Play is properly received and recorded by administrator’s computer(s) on or immediately after a randomly selected time during the Game Period) will win a prize (subject to verification). One (1) prize will be awarded for every one-hour increment of the Promotion Period. All Plays must be properly received and recorded by Sponsor’s computer within the Promotion Period in order to be eligible to win a prize. Odds of winning an Instant-Win Prize depend on the number of eligible Plays received and the order in which they are received per hour.
In the event of an identity dispute of a Play, the Play will be considered made by the registered owner of the phone number used for the Play. Limit one (1) Play per person/phone number per hour, regardless of method of participation.
4. HOW TO ENTER THE SWEEPSTAKES: During the Promotion Period, visit www.laysflavorallstars.com (the “Web Site”) and follow the online instructions to rate the featured Lay’s® flavors, and complete and submit the registration form to receive one (1) entry into the random drawing (as defined in Rule #6) for a chance to win the Sweepstakes Prize. Limit one (1) Sweepstakes entry per person/email address per day.
5. CONDITIONS APPLICABLE TO BOTH THE INSTANT-WIN GAME AND THE SWEEPSTAKES: Multiple entrants may not share the same phone number or email address. A potential winner may be requested to provide Sponsor with proof that he/she is the authorized account holder of the phone number or account associated with the winning Play, entry and/or an eligible entrant. Each Code, Play and/or Sweepstakes entry must be manually entered by the individual entrant; automated and/or repetitive electronic submission of Codes, Plays or Sweepstakes entries (including but not limited to Codes/Plays/entries made using any script, macro, bot or sweepstakes service) will be disqualified and transmissions from these or related email addresses/IP addresses may be blocked. Additionally, use of multiple phone numbers, email addresses, and/or mailing addresses, and/or the manipulation of such information, for the purpose of obtaining more than the stated number of Plays or entries, is prohibited and such persons will be disqualified and all Plays or entries will be deemed invalid and any prizes won shall be forfeited.
6. SWEEPSTAKES RANDOM DRAWING: The Sweepstakes Prize winner will be selected in a random drawing to be held on or about November 15, 2016 from among all eligible Sweepstakes entries received by the Judges. Odds of winning the Sweepstakes Prize depend on the number of eligible Sweepstakes entries received throughout the entire Promotion Period.
7. PRIZE DETAILS:
Instant-Win Prizes (996 total; 1 per hour): $100.00, awarded in the form of a check, payable to winner.
Sweepstakes Prize (1): “Lay’s® for a Year”, awarded in the form of fifty-two (52) coupons; each redeemable for one (1) bag of Lay’s® brand chips. Coupons subject to terms and conditions as stated on coupons. Approximate Retail Value (“ARV”) of the Sweepstakes Prize is $230.00. Any difference between stated value and actual value will not be awarded.
Winner must accept prize as stated by Sponsor or prize may be forfeited. Total ARV of all prizes is $99,830.00. Limit one (1) Instant-Win Prize per person/phone number/email address/household.
8. WINNER NOTIFICATION: Prizes won by an eligible participant who is a minor in his or her state of residence may be awarded to a minor’s parent or legal guardian. Instant-Win Prize winners will be notified at the time of playing and will receive a prize-winning message with instructions on how to claim their prize. If you participated via Text Message, you will receive a link in the prize-winning message. You will be required to complete the prize-claim form within three (3) days or prize shall be forfeited. Sponsor is not responsible for any change in participant’s email, mailing address and/or telephone number. If attempted notification is returned as undeliverable, if winner cannot be contacted or verified, if winner is otherwise unable to accept the prize as stated, or if winner is otherwise disqualified, prize may be forfeited. Prizes won by an eligible participant who is a minor in his or her state of residence may be awarded to a minor’s parent or legal guardian who must sign and return all required documents, if any. Sweepstakes Prize winner may be notified by phone, mail and/or email. Sweepstakes Prize winner may be required to complete, sign and return an Affidavit of Eligibility/Liability Release, and, where lawful, a Publicity Release within seven (7) days of prize notification. If documents are not returned as specified by Sponsor, in its sole discretion, or if mail is returned to Sponsor as undeliverable mail without a forwarding address, the prize may be forfeited. If a prize is returned as undeliverable, prize will be forfeited and Sponsor shall have no further liability to award that prize. Instant-Win Prizes will be shipped within 6-8 weeks of winner verification.
9. LIMITATIONS OF LIABILITY AND RELEASE: No liability or responsibility is assumed by Sponsor or Promotion Parties resulting from participant’s participation in or attempt to participate in the Promotion or ability or inability to upload or download any information in connection with the Promotion. No responsibility or liability is assumed by the Sponsor or the Promotion Parties for technical problems or technical malfunction arising in connection with any of the following occurrences which may affect the operation of the Promotion: Hardware or software errors; faulty computer, telephone, cable, satellite, network, electronic, wireless or Internet connectivity or other online or network communication problems; errors or limitations of any Internet or phone service providers, servers, hosts or other providers; garbled, jumbled or faulty data transmissions; failure of any online transmissions to be sent or received; lost, late, delayed or intercepted transmissions; inaccessibility of the Web Site in whole or in part for any reason; traffic congestion on the phone network, Internet or the Web Site; unauthorized human or non-human intervention of the operation of the Promotion, including without limitation, unauthorized tampering, hacking, theft, virus, bugs, or worms; or destruction of any aspect of the Promotion, or loss, miscount, misdirection, inaccessibility or unavailability of the Web Site used in connection with the Promotion. Sponsor is not responsible for any printing, typographical, technical, computer, network or human error which may occur in the announcement of prizes or these Official Rules, or any inaccurate or incorrect data contained on the Web Site. Use of Web Site is at user’s own risk. Sponsor and Promotion Parties are not responsible for any personal injury or property damage or losses of any kind which may be sustained to user’s or any other person’s computer equipment or mobile device resulting from participation in the Promotion.
By participating in the Promotion, participants (or participant’s parent or legal guardian if participant is an eligible minor) release Sponsor and Promotion Parties from any and all claims, damages or liabilities arising from or relating to such participant’s participation in the Promotion. By accepting a prize, recipient (or parent or legal guardian if participant is an eligible minor) (a) agrees that the Sponsor and Promotion Parties, participating retailers, and all of their respective officers, directors, employees, representatives and agents will have no liability whatsoever for, and shall be held harmless by winner against, any liability for injuries, losses or damages of any kind to persons or property resulting in whole or in part, directly or indirectly, from participation in the Promotion; from acceptance, possession, misuse or use of prize and (b) grants (and agrees to confirm grant in writing promptly upon request) to Sponsor and those acting under their authority the right to the use of his/her name, photograph, likeness, voice, image, statements and biographical information, at any time or times, for advertising, trade, publicity and promotional purposes in any media now known or hereafter discovered, worldwide, including the Internet without review, notification or approval, and additional compensation, unless prohibited by law. Sponsor is not liable in the event that any portion of the Promotion is canceled due to weather, fire, strike, acts of war or terrorism, or any other condition beyond their control (a “Force Majeure Event”). No more than stated number of prizes will be awarded. In the event that production, seeding, printing or any other reasons cause more than stated number of prizes, set forth in these Official Rules, to be available and/or claimed, Sponsor reserves right to award only the stated number of prizes. Screen shots are not proof of winning status.
10. DISCLAIMER: Codes are void if not obtained through authorized, legitimate channels, or if any part is defective, altered, duplicated, photocopied, forged, counterfeited, mutilated or tampered with in any way, or if Codes contain or are the result of printing, seeding, typographical, mechanical or other errors, or do not contain proper security devices. Sole liability for a regular official Code is limited to replacement with a free randomly selected official Code, while supplies last. Codes may not be transferred, sold, bartered, auctioned (including through Internet auction sites), given away, traded or obtained through any source other than through the method described in these Official Rules.
11. GENERAL CONDITIONS: Winners are solely responsible for any taxes on the prize, and will receive an IRS Form 1099 for the ARV of the prize, if applicable. No cash equivalent or substitution of prize is offered, except at the sole discretion of the Sponsor. No transfer of prize is permitted. Unclaimed prizes will not be awarded. If a prize, or any portion thereof, cannot be awarded for any reason, Sponsor reserves the right to substitute prize with another prize of equal or greater value. If for any reason the Promotion is not capable of running as planned, including infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, Sponsor reserves the right, at its sole discretion, to (a) disqualify any individual who is responsible or who tampers with the entry process, and (b) cancel, modify or terminate the Promotion. In the event of cancellation, Sponsor will randomly award the prizes among all eligible, non-suspect Plays or entries (as applicable) received prior to cancellation. This Promotion is offered only in the United States and is governed by the laws of the state of Texas, and all claims must be resolved in the federal or state courts located in Collin or Dallas counties, Texas.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THE WEB SITE OR INTERFERE WITH THE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
