Terms and Conditions (“Terms and Conditions”)
The Victoria’s Secret promotion by Quikly (the “Promotion”) is open to only to legal residents of the fifty United States (including D.C. and Puerto Rico) who have reached the age of majority in their jurisdiction of residence at the time of opt-in. Must have a valid cell phone number to confirm opt-in.
Click the “I Want In” button located at quikly.com/1368 and if you haven’t opted-in for the campaign previously, follow the instructions to opt-in. Once you’ve opted-in, you’re in! At some point soon, the Promotion will go live. When it does, we (Quikly) will send you an email or text (depending on your preference selected at opt-in) letting you know the Promotion is live. You can receive 3 minutes advanced notice that the Promotion is about to go live for every person who opts-in from your referral through the referral page. The maximum amount of time an individual can earn towards an advanced notice is 99 minutes. Be one of the first to claim a Victoria’s Secret reward once it goes live, while supplies last. In the event of a dispute concerning who opted-in, the opt-in will be declared to have been made by the registered account holder of the phone number and/or e-mail address associated with the opt-in, as determined by Victoria’s Secret in its sole discretion. Participant(s) may be required to provide Victoria’s Secret with proof that he/she is the registered account holder for the phone number and/or e-mail address associated with the opt-in. If a dispute cannot be resolved to Victoria’s Secret’s satisfaction, the opt-in will be deemed ineligible.
By participating in this Promotion, you agree to release and hold harmless Victoria’s Secret, together with its respective affiliates and related companies, including without limitation its parent, sister and subsidiary companies, retailers, franchisees, advertising and promotion agencies (including Quikly), suppliers of material and services related to the Promotion, and any other corporation, partnership, sole proprietorship or other legal entity directly involved in the Promotion and their respective officers, directors, employees, agents, and other representatives (the “Releasees”) from and against any and all claims, injury or damage (including without limitation direct, indirect, incidental, consequential or punitive damages), to persons or property, arising out of or relating to (a) entry or participation in this Promotion (including, without limitation, those made under the Federal Telephone Consumer Protection Act and similar laws), (b) any claims based on personality or privacy rights, defamation or reward delivery, or (c) the possession, use, misuse, or redemption of a reward. Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages; therefore such exclusions may not apply to you.
Receiving a reward is contingent on fulfilling all the requirements set forth herein. Quikly and Victoria’s Secret reserve the right to correct any typographical, printing, computer programming or operator errors. Quikly’s and/or Victoria’s Secret ‘s failure to enforce any term of these Terms and Conditions shall not constitute a waiver of that provision. The invalidity or unenforceability of any provision of these Terms and Conditions shall not affect the validity or enforceability of any other provision. If any provision of the Terms and Conditions is determined to be invalid or otherwise unenforceable, then the Terms and Conditions shall be construed in accordance with their terms as if the invalid or unenforceable provision was not contained therein. Quikly and Victoria’s Secret reserve the right to disqualify any participant where it is suspected or evident that tampering with the Promotion operation, or a violation of these Terms and Conditions, has occurred.
BINDING ARBITRATION IS REQUIRED. EXCEPT WHERE PROHIBITED BY LAW: PARTICIPANT AGREES THAT: (I) ANY DISPUTE, CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THE PROMOTION, OR ANY REWARD AWARDED, SHALL BE RESOLVED INDIVIDUALLY — WITHOUT RESORT TO ANY FORM OF CLASS ACTION — BY BINDING ARBITRATION (BY A SINGLE NEUTRAL ARBITRATOR SELECTED BY SPONSOR IN ITS SOLE AND ABSOLUTE DISCRETION) ADMINISTERED BY THE AMERICAN ARBITRATION ASSOCIATION IN ACCORDANCE WITH THE COMMERCIAL ARBITRATION RULES AND THE SUPPLEMENTARY PROCEDURES FOR CONSUMER RELATED DISPUTES (THE “AAA RULES”) THEN IN EFFECT; (III) ANY ARBITRATION SHALL BE HEARD BY ONE ARBITRATOR TO BE SELECTED IN ACCORDANCE WITH THE AAA RULES, IN COLUMBUS, OH; (IV) UNLESS BOTH ENTRANT AND SPONSOR (WHICH INCLUDES ALL PERSONS AND ENTITIES AGAINST WHICH OR WHOM SUCH CLAIM IS DIRECTED) AGREE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON’S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING; (V) JUDGMENT UPON ANY AWARD RENDERED MAY BE ENTERED IN ANY COURT HAVING JURISDICTION THEREOF; (VI) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE SUBJECT TO ALL LIMITATIONS AND RELEASES SET FORTH IN THESE OFFICIAL RULES AND LIMITED TO ACTUAL OUT-OF-POCKET DAMAGES, BUT IN NO EVENT SHALL SUCH CLAIMS, JUDGMENTS OR AWARDS INCLUDE ANY PUNITIVE, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES, ATTORNEYS’ FEES OR COSTS OF BRINGING A CLAIM, ANY INJUNCTIVE OR OTHER EQUITABLE RELIEF. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.
All federal, state and local laws and regulations apply. All issues and questions concerning the construction, validity, interpretation and enforceability of these Terms and Conditions, or the rights and obligations of entrants and Releasees in connection with the Promotion, shall be governed by, and construed in accordance with Ohio law without giving effect to any choice of law or conflict of laws.
